Terms of Service

Important Notice: Auto-Binding Agreement

Please read these Terms of Service carefully. By executing any of the following actions, you explicitly agree to be legally bound by these Terms without requiring a physical or digital signature:

  • Accepting a Nanny Request in your profile section after logging into your Yashodi account.
  • Making any payment towards any invoice issued to you by Yashodi (including the Stage 2 Token Fee).

1. Definitions and Brand Ownership

  • “Yashodi” (“we”, “us”, “our”): Refers to the brand name Yashodi Baby Care, which is a proprietary business owned and operated under the sole proprietorship of Madhavi Singhal. The business registration, GSTIN, and corporate address belong solely to the proprietorship.
  • “Family” (“you”, “your”): The individual, parent, or guardian engaging our services, and in whose household the Nanny will be deployed.
  • “Nanny” (“Caregiver”): The childcare professional vetted, introduced, and facilitated by Yashodi. Once hired, the Nanny's profile is automatically added to your user profile within your online Yashodi account, allowing you to manage placement details, schedules, and active status directly from your dashboard.
  • “Subscription”: The operational service period (default of 12 months, subject to extensions for Days Lost) during which Yashodi manages the placement, payroll routing, and replacement guarantees.

2. Nature of Service, Employer of Record, & PF Exemption

Employer of Record & Domestic Employment: Yashodi operates as the administrative intermediary and Employer of Record for payroll administration, compliance facilitation, and management convenience. Legally and operationally, the Family is the direct household employer of the Nanny. Day-to-day instruction, task management, supervision, and household safety are the sole responsibility of the Family.

Exemption from Provident Fund (PF) & ESIC: Because the Nanny is employed directly in a private household/domestic capacity and not in an industrial or commercial establishment, statutory commercial benefits such as Provident Fund (PF) and Employee State Insurance Corporation (ESIC) schemes are not legally applicable to this engagement.

Fee vs. Salary Structure:

  • The Yashodi Service Fee is structured as an annual charge of Rs. 30,000 + GST, split into three distinct milestone installments. This fee represents our concierge, vetting, administrative, and replacement services, and is subject to applicable indirect taxes (GST).
  • The Nanny's Salary is a direct pass-through domestic wage. It is not a commercial service charge and is therefore not subject to GST or corporate tax deductions by Yashodi.

3. Fee Milestones & Payment Timelines

The Family agrees to adhere to the following payment schedule:

A. Yashodi Service Fee (Rs. 30,000 + GST Total)

  • Stage 1: Exploration & Search: Rs. 0 (Zero) fee until hiring is finalized.
  • Stage 2: 5% on Finalizing Hiring (Token): Rs. 1,500 + GST (payable immediately upon selection and confirmation of the Nanny, prior to deployment).
  • Stage 3: 65% Joining (1st Installment):Rs. 19,500 + GST (payable on the Nanny's first day of joining).
  • Stage 4: 30% Milestone (2nd Installment): Rs. 9,000 + GST (payable on Joining + 90 Days).

B. Monthly Nanny Salary & Bonuses

  • Salary Deposit:The Family must deposit the Nanny's net monthly salary into Yashodi's dedicated salary deposit link by the 25th of every month. The entire salary must be transferred in full, without any arbitrary deductions, withholding, or tax additions.
  • Bonuses: Any bonuses, festival payouts, or performance incentives must be paid strictly in accordance with mutually agreed timelines and written arrangements discussed between Yashodi and the Family.

4. Scope of Caregiver Role

Placements through Yashodi are strictly intended for childcare and child-related support aligned with your initial brief. Nannies introduced by Yashodi are not engaged for general household work (such as adult cooking, adult laundry, general house cleaning, or unrelated domestic errands). Forcing or requesting a Nanny to perform general domestic chores constitutes a breach of these Terms and may result in immediate suspension of your subscription without a refund.

5. Subscription Validity & “Days Lost” Extension

  • Default Validity:The default subscription validity is 12 months from the date of the first Nanny's joining.
  • “Days Lost” Adjustment:If a Nanny absconds, is removed, or goes on unapproved leave, the active service days are paused. The “Days Lost” (counted from the day the Nanny leaves/is removed until the day a replacement Nanny joins the household) are automatically added back to your subscription, extending your 12-month expiry date accordingly.
  • Proration Base: For all calculations, proration is determined using a base of 12 months / 365 days.
  • Validity Adjustments:The subscription period can only be extended due to “Days Lost” or via a mutually signed, written, and approved agreement between Yashodi and the Family.

6. Replacement and Refund Policy

In the event that a placement does not work out, the following terms apply based on when the issue occurs:

A. Within 15 Days of Joining (up to the 15th Day)

  • If you choose to find a replacement: Yashodi will provide replacement profiles.
  • If you do not wish to continue with our services: You are entitled to a full refund of the Yashodi service fees paid to date.

B. Between 16 and 45 Days of Joining

  • If you do not wish to continue: We will deduct a flat, one-time processing fee of Rs. 5,000 + GST. The remaining balance of the fees paid to date will be refunded to you on a pro-rata basis calculated against the standard pro-rata terms defined in Section 5 (12 months / 365 days).

C. After 45 Days (and after the 2nd Installment at 90 Days)

  • No refunds will be issued under any circumstances.
  • Yashodi will provide replacement profiles to fulfill the remainder of your agreed subscription validity period.

D. Replacement Timeline & SLA

Yashodi will share initial replacement profiles within two (2) business days of receiving your formal written intimation of replacement. Subsequent interview schedules and trial coordination will follow standard processing times.

7. Service Continuity & Dormancy

We aim to offer seamless service continuity by actively providing replacements.

  • Continuous Pursuit: Replacement guarantees apply only if the Family actively pursues a continuous replacement.
  • Dormancy/Inactive Limit: If a Family decides to pause their search and returns after two (2) or more months of an inactive subscription, Yashodi cannot guarantee a direct, active dedicated replacement search.
  • Dormant Access: Instead, dormant accounts will be transitioned to directory access, allowing the Family to browse the Yashodi Nanny Directory and unlock up to ten (10) free contacts of verified nannies to contact directly.

8. Non-Solicitation and Direct Hiring Penalty

You agree not to employ, engage, or enter into any private, direct, or third-party domestic arrangement with any Nanny introduced to you by Yashodi outside of our official framework for a period of twelve (12) months following the introduction or the termination of your subscription.

If you bypass Yashodi and hire an introduced Nanny directly, you agree to pay Yashodi a liquidated damages penalty equivalent to six (6) months of the Nanny's last-drawn monthly salary on our platform, payable immediately upon demand.

9. Screening and Limitations of Liability

While Yashodi conducts professional screening, background checks, and identity verification, no process is entirely foolproof.

  • Yashodi is not liable for indirect, incidental, or consequential damages.
  • Our aggregate liability for any claim relating to these Terms is strictly limited to the fees you have paid to Yashodi in the three (3) months preceding the claim, or INR 10,000, whichever is lower.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of India. The courts at Gurugram, Haryana shall have exclusive jurisdiction over any disputes arising under this agreement.
